Receiving a FinCEN inquiry requires careful, prompt handling. Here is what to do when FinCEN contacts your company — how to respond, what to disclose, and how to protect your interests.

How to Handle a FinCEN Inquiry: A Fintech Guide

Receiving a FinCEN inquiry — whether a request for information, a notice of examination, or notification of a potential enforcement matter — is a serious event that requires careful, coordinated handling. The decisions made in the first 24 to 48 hours after receiving a FinCEN contact significantly affect how the situation develops.

The First Step: Engage Qualified Legal Counsel Immediately

Before responding to any FinCEN inquiry, engage qualified legal counsel with experience in BSA enforcement and FinCEN matters. This is not optional.

FinCEN matters involve complex legal issues — including potential criminal liability in serious cases — where the advice of general counsel without specific BSA expertise is insufficient. The response strategy, what information to provide, how to communicate with FinCEN, and whether voluntary self-disclosure is appropriate are all decisions that require specialized expertise.

Do not respond to FinCEN directly, informally, or without legal guidance. Even well-intentioned communications can create legal complications if not handled correctly.

Types of FinCEN Contact

FinCEN may contact your company in several different ways, each requiring a different response.

Examination notice — a formal notification that FinCEN intends to examine your compliance program. This initiates the examination process. Engage counsel and begin organizing your documentation package. Building a strong AML program before any inquiry arrives is the best preparation.

Information request — a request for specific information or records, which may be part of an examination or a broader investigation. Respond completely and accurately within the requested timeframe, with legal counsel guidance on what to provide and how to frame responses.

Civil money penalty notice — a formal notification that FinCEN intends to assess a civil money penalty. This requires an immediate, substantive legal response and typically initiates a negotiation process.

Criminal referral — in serious cases, FinCEN may refer matters to the Department of Justice for criminal prosecution. This requires immediate criminal defense counsel engagement.

Voluntary Self-Disclosure

If you identify a compliance failure before FinCEN does — a missed SAR deadline pattern, a period of inadequate controls, a sanctions screening gap — voluntary self-disclosure to FinCEN may be appropriate. FinCEN recognizes voluntary self-disclosure as a significant mitigating factor in penalty calculation.

The decision to voluntarily disclose must be made carefully with legal counsel guidance. Self-disclosure that is incomplete or poorly framed can create more problems than it resolves.

During an Examination

Be cooperative, accurate, and professional. Provide complete responses to information requests. Make compliance personnel available for interviews as requested. Do not exaggerate your program's capabilities — examiners will test what you tell them. Do not minimize genuine deficiencies — acknowledge them and present your remediation plan.

Frequently Asked Questions

Can we continue normal operations while a FinCEN examination is underway?

Yes — an examination does not suspend your operations unless FinCEN specifically orders operational restrictions as part of a formal enforcement action. Continue operating and complying with all BSA requirements during the examination process.

What if an examination finds violations?

Engage constructively with examiners. Provide complete information. Propose specific remediation plans with realistic timelines. Follow through on commitments. Examiners and FinCEN respond much better to honest acknowledgment and credible remediation than to defensiveness.
