These Terms of Service (“Terms”) govern your access to and use of the ComplyOne platform and website located at www.complyone.tech (the “Platform”). The Platform is operated by ComplyOne, Inc., a Delaware corporation (“ComplyOne,” “we,” “our,” or “us”). By accessing or using the Platform, you agree to these Terms. If you do not agree, you may not access or use the Platform.
1. Description of the Platform
ComplyOne provides a software platform designed to help organizations manage and organize their compliance programs, documentation, oversight activities, and operational workflows. The Platform may include tools that assist users in maintaining compliance documentation, tracking reporting requirements, managing internal oversight processes, collaborating with partner organizations, and utilizing AI-assisted features that help users complete compliance-related tasks.
ComplyOne provides software tools only. The Platform is intended to support operational efficiency and organization of compliance programs, but it does not provide legal advice, regulatory advice, or compliance certification.
2. Eligibility
You must be at least eighteen (18) years old to use the Platform. By accessing or using the Platform, you represent that you have the legal authority to enter into these Terms and that you are using the Platform on behalf of a legitimate business, organization, or professional activity.
3. User Accounts
In order to access certain features of the Platform, you may be required to create an account. You agree to provide accurate and complete information during registration and to keep that information updated if it changes.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you believe your account has been compromised, you must notify ComplyOne immediately.
4. Customer Data Ownership
Customers retain full ownership of all documents, data, files, and materials uploaded to the Platform (“Customer Data”). ComplyOne does not claim ownership of Customer Data. By uploading data to the Platform, customers grant ComplyOne a limited license to host, store, process, and display such information solely for the purpose of operating and improving the Platform.
ComplyOne may use anonymized and aggregated data derived from platform usage to improve system performance, analytics, and AI-assisted capabilities. Such information will not identify any specific customer or organization.
Customer data will not be sold or shared with third parties unless the customer authorizes such sharing or disclosure is required by law.
5. AI-Assisted Platform Features
Certain features of the Platform may utilize artificial intelligence or automated tools designed to assist users with compliance-related tasks, document preparation, or workflow management. These outputs are intended to support operational efficiency but may not be complete or error-free.
Users are responsible for reviewing any AI-generated output before relying on it. ComplyOne does not guarantee the accuracy, completeness, or regulatory sufficiency of any automated or AI-generated content produced through the Platform.
6. No Legal or Regulatory Advice
ComplyOne is not a law firm and does not provide legal advice or regulatory guidance. The Platform and all associated tools are provided for informational and operational assistance only.
Use of the Platform does not create a legal advisory relationship between ComplyOne and any user. Organizations remain solely responsible for their compliance programs, regulatory obligations, and decisions made using the Platform. Users should consult qualified legal or compliance professionals when appropriate.
7. Acceptable Use
Users agree to use the Platform only for lawful purposes and in accordance with these Terms. Users may not upload, distribute, or store content that is unlawful, harmful, or unauthorized. Prohibited activities include:
- uploading malicious code or software
- attempting unauthorized system access
- interfering with platform functionality
- uploading data without proper rights or authorization
- violating intellectual property rights
ComplyOne reserves the right to suspend or terminate accounts that violate these rules.
8. Security
ComplyOne implements commercially reasonable safeguards to protect platform infrastructure and customer data. These safeguards include encrypted data storage, role-based access controls, and system monitoring through audit logs.
While ComplyOne takes reasonable steps to protect information, no online system can be guaranteed to be completely secure. Users remain responsible for safeguarding their account credentials and access permissions.
9. Payments and Billing
Certain features of the Platform may require payment of subscription fees. Payments may be processed through third-party payment providers such as Stripe. Pricing, billing cycles, and payment terms will be communicated through the Platform.
Failure to pay required fees may result in suspension or termination of access to the Platform.
10. Account Termination and Data Retention
Users may terminate their account at any time by discontinuing use of the Platform and contacting ComplyOne. ComplyOne may suspend or terminate access if a user violates these Terms, engages in unlawful activity, or fails to meet payment obligations.
Upon termination, customers will have up to thirty (30) days to export their Customer Data. After that period, ComplyOne may permanently delete stored data.
11. Beta or Experimental Features
From time to time, ComplyOne may release new functionality designated as beta, experimental, or early access features. These features may be incomplete, subject to change, or removed entirely without notice. Users access beta features at their own risk.
12. Intellectual Property
All software, design, branding, and platform content provided through the Platform are owned by ComplyOne, Inc. and are protected by intellectual property laws. Users may not reproduce, copy, reverse engineer, distribute, or otherwise exploit the Platform without written permission from ComplyOne.
13. Limitation of Liability
To the maximum extent permitted by law, ComplyOne will not be liable for indirect, incidental, consequential, or special damages arising from use of the Platform, including lost profits, business interruptions, or regulatory penalties.
ComplyOne’s total liability under these Terms shall not exceed the total amount paid by the customer for the Platform during the twelve (12) months preceding the event giving rise to the claim.
14. Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis. ComplyOne makes no warranties regarding system availability, uninterrupted operation, or the accuracy or reliability of any platform output.
15. Governing Law
These Terms are governed by and interpreted under the laws of the State of Delaware, without regard to conflict of law principles.
16. Changes to These Terms
ComplyOne may update these Terms from time to time to reflect changes in the Platform or legal requirements. When material changes occur, updated Terms will be posted on the Platform and reflected in the “Last Updated” date above. Continued use of the Platform constitutes acceptance of the revised Terms.
